1. Acceptance of Terms

By creating an account, logging into, or using Sagwan, you ("User," "you," or "your") agree to be bound by these Terms and our integrated Data Privacy Policy (pursuant to RA 10173 / Data Privacy Act of 2012). This agreement constitutes a legally binding contract between you and PixelTech Phils. Inc. ("PixelTech," "we," "us," or "our"). If you do not agree to these Terms, you must immediately cease all access to and use of the Platform.

2. Eligibility and Scope of Services

Sagwan is a specialized online review and diagnostic platform designed to assist Naval Architecture and Marine Engineering (BS NAME) students, graduates, and professionals preparing for the PRC Licensure Board Examination.

To register for and use the Platform, you represent and warrant that you:

• Are an officially enrolled student, alumnus, faculty member, or authorized affiliate of a Higher Education Institution (HEI) or partner entity holding a valid active subscription with PixelTech, or an individually registered subscriber.
• Are at least eighteen (18) years of age, or have obtained explicit parental/legal guardian consent if under 18.
• Provide true, accurate, current, and complete information during registration and maintain its accuracy at all times.

3. Subscriptions, Fees, and Non-Refundability Policy

• Institutional and Individual Subscriptions: Access to Sagwan is granted via paid institutional subscriptions or direct individual user passes.
• Strict Non-Refundable Policy: All subscription fees, access tokens, and enrollment payments paid to PixelTech Phils. Inc. are strictly non-refundable and non-transferable. This applies under all circumstances, including but not limited to:
  • Early completion of board exam preparation or non-usage of the account.
  • Failure to take or pass the PRC Licensure Board Examination.
  • Decision to drop out, transfer, or graduate early from an affiliated Higher Education Institution (HEI).
  • Account suspension or termination due to a violation of these Terms.
  • Temporary user-side internet connectivity issues or hardware incompatibility.
• Payment Processing: All payments processed via third-party payment gateways, bank transfers, or institutional billing partners are final upon confirmation.

4. Account Security and Responsibilities

• Credentials Confidentiality: You are solely responsible for maintaining the confidentiality of your username, password, and single sign-on (SSO) credentials.
• Prohibition of Account Sharing: Accounts are strictly individual and non-transferable. Concurrent logins across multiple unauthorized devices or sharing account access with classmates, colleagues, or third parties is strictly prohibited and monitored by automated anomaly detection.
• Unauthorized Access: You must immediately notify PixelTech's technical support team at askus@pixeltechph.com if you suspect any unauthorized access or breach of your account.
• Limitation of Account Liability: PixelTech shall not be held liable for any loss, damage, or compromise resulting from your failure to safeguard your login details.

5. Intellectual Property Rights

• Platform Ownership: All software code, user interface designs, database architectures, mock exam algorithms, branding, trademarks, and logos associated with Sagwan are the exclusive property of PixelTech Phils. Inc.
• Review Materials & Question Banks: All mock exam questions, solutions, engineering formulas, diagrams, video explanations, modules, and preparatory content made available on Sagwan are proprietary intellectual property owned by or licensed to PixelTech.
• Limited License: Subject to compliance with these Terms, PixelTech grants you a personal, non-exclusive, non-transferable, revocable license to access and view Platform content for personal, non-commercial examination preparation. You may not copy, reproduce, screen-record, scrape, distribute, resell, or create derivative works from any Platform content without express written authorization from PixelTech.

6. Prohibited Conduct

When using Sagwan, you explicitly agree NOT to:

1. Scrape or Extract Data: Use web crawlers, bots, scrapers, automated scripts, or manual extraction methods to capture question banks, answer keys, or user data.
2. Distribute Content: Screen-record, screenshot, print, publish, redistribute, or share exam questions, answer keys, or study modules on social media, messaging channels, print, or external online repositories.
3. Cheating & Exploits: Attempt to reverse-engineer, decompile, exploit system vulnerabilities, or bypass timed testing mechanisms, attempt tracking, or score algorithms.
4. Platform Abuse: Introduce malware, viruses, trojans, or perform Denial-of-Service (DoS) attacks that could disable, overburden, or impair the proper functioning of the Platform.
5. Misrepresentation: Impersonate any individual or entity, or misrepresent your affiliation with an HEI, company, or regulatory body (such as the PRC or MARINA).

7. Disclaimer of Warranties and Exam Outcomes

• "As-Is" Provision: Sagwan is provided on an "as-is" and "as-available" basis. PixelTech makes no warranties, express or implied, regarding system uptime or error-free operations.
• Connectivity & Bandwidth: While PixelTech makes reasonable commercial efforts to optimize the Platform for low-bandwidth environments (including satellite internet connections on offshore or deep-sea vessels), we do not guarantee uninterrupted connectivity in unstable network environments.
• No Guarantee of Examination Results: Sagwan is a review and diagnostic tool designed to supplement your study regimen. PixelTech does not guarantee that using the Platform will ensure a passing score or specific result in the PRC Naval Architecture and Marine Engineering Licensure Board Examination.
• Academic/Regulatory Independence: PixelTech is an independent software entity and is not affiliated with the Professional Regulation Commission (PRC) or the Commission on Higher Education (CHED). PixelTech accepts no liability for academic, graduation, employment, or licensing decisions made by HEIs, CHED, or the PRC.

8. Limitation of Liability

To the maximum extent permitted under applicable laws of the Republic of the Philippines:

• PixelTech, its directors, employees, partners, or affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of data, loss of opportunity, or academic delays) arising out of or related to your use of or inability to use the Platform.

9. Suspension and Termination

• Termination by You: You may stop using the Platform at any time or request account deletion in accordance with our Data Privacy Policy. Voluntary closure of an account does not entitle the user to a full or partial refund.
• Termination by PixelTech: PixelTech reserves the right, at its sole discretion, to suspend, disable, or permanently terminate your account immediately—without prior notice or refund—if:
  • You breach any provision of these Terms or the Data Privacy Policy.
  • Suspicious activity, automated scraping, or account-sharing is detected.
  • Your associated HEI or institutional license agreement expires or is terminated.
  • Required by law, legal order, or regulatory mandate.

10. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by, interpreted, and construed in accordance with the laws of the Republic of the Philippines.
• Amicable Settlement: In the event of any controversy, claim, or dispute arising out of or relating to these Terms, the parties agree to first exert all reasonable efforts to resolve the matter amicably through good-faith negotiation.
• Exclusive Venue: If an amicable resolution cannot be reached within thirty (30) calendar days, any legal action or proceeding shall be brought exclusively before the proper courts of Las Piñas City, Metro Manila, Philippines, to the exclusion of all other venues.

11. Modifications to the Terms

PixelTech reserves the right to update or modify these Terms at any time to reflect software upgrades, regulatory shifts, or institutional requirements. For material updates, we will notify you via a Sagwan dashboard notification or through your registered institutional email address at least fifteen (15) days prior to the changes taking effect. Your continued use of the Platform after the effective date constitutes your agreement to the updated Terms.
